Merger Update

IRF (AIM: IRF) is pleased to announce that the merger of Proton Bank, Omega Bank and Proton Securities has today been approved, at general meetings of each of Proton Bank, Omega Bank and Proton Securities. The merger is expected to be effective on September 29, 2006 in accordance with the draft merger agreement which has been previously announced.
In addition, the shareholders elected the following people to the Board of Directors of Proton Bank who shall serve as Directors of the merged entity upon the merger being effective:
Angeliki Frangou, Chairman of the Board
Antonios Athanasoglou, Executive Vice Chairman of the Board
Elias Lianos, Managing Director and CEO
Theodoros Mylonas, Deputy Managing Director
Dimitrios Saramantis
Hasdai Capon
Georgios Kintis
Georgios Minetas
Markos Foros
Panagiotis Alexakis
Alexandra Stavropoulou
Angeliki Frangou, Chairman of IRF stated that 'we are pleased with today's meetings and look forward to the merger becoming effective so that we can deliver the merger and other efficiencies to our shareholders.'
